Which entity signs, and what your general counsel will ask

Every firm here can write software. What survives contact with your legal team is which company name sits above the signature line and whose courts it answers to.

Three shapes exist. A single foreign trading company signs with you directly, usually an Indian private limited company or its Argentine or Pakistani equivalent. A foreign group with a United States or United Kingdom subsidiary lets you sign locally while work happens abroad. Or an American company subcontracts delivery to an affiliate never named in your paperwork. Ask about the third, because your assignment of intellectual property travels that chain.

Two facts your counsel will want, and almost no vendor volunteers either. First, the United States is not a reciprocating territory under Section 44A of the Indian Code of Civil Procedure, so a United States court judgment cannot be executed in India directly and has to be sued upon afresh. An arbitration award is a different animal: both countries are parties to the 1958 New York Convention on the recognition and enforcement of foreign arbitral awards, so an arbitration clause is worth more to you than a choice-of-court clause. Second, under Section 19 of the Indian Copyright Act 1957, an assignment silent on duration is deemed to run five years, and one silent on territory is presumed to cover India alone. One line saying all intellectual property transfers to the client does not survive that.

The American side has its own gap. Work made for hire under United States copyright law covers nine enumerated categories, and custom software is not usually one, so a contractor's code needs an express written assignment rather than a work-for-hire recital. Ask to see the chain both ways: vendor to you, and each engineer to the vendor. On engagements Digital Heroes has taken over, the missing link is almost always the second.

How time-zone overlap is scheduled rather than promised

The sentence we work in your time zone means nothing. Ask for the window in hours, written into the statement of work, with named people inside it.

The arithmetic is fixed and takes a minute. India Standard Time runs at UTC plus five and a half, so 9am in New York on daylight saving time is 6:30pm in Ahmedabad, and 9am in Los Angeles is 9:30pm there. Pakistan Standard Time is UTC plus five. Buenos Aires sits at UTC minus three, an hour ahead of New York, which is why a Latin American bench covers a United States day while an Indian one covers its edges.

Here is the part that catches people. India does not observe daylight saving and the United States does, so your overlap window moves by an hour in March and again in November. A contract promising four hours without naming them quietly becomes three twice a year, and nobody sends an email about it.

Write down instead: the window in local time on both sides, a named engineer and a named decision-maker in it, a maximum response time for a blocking question, and who carries a phone outside it. In our own projects the largest schedule risk on an offshore build is never the code. It is a question that waits a day for an answer and a second day for the follow-up.

What happens to the code if the relationship ends

Ask in week one, while everybody is still pleased with each other. A good answer is arrangements, not reassurance.

Where does the repository live. It should be an organisation you own on GitHub, GitLab or Bitbucket, with the vendor's engineers added as members, from the first commit rather than at handover. Who pays the cloud bill: if production runs inside the vendor's Amazon Web Services or Microsoft Azure account, you are not moving quickly. Where do the secrets sit, who holds the registrar and payment gateway logins, and has anyone restored a backup.

Then run the documentation test. Ask for the readme and runbook from an existing project with the client name removed. If a competent engineer could not stand that system up locally by following it, you are buying a dependency, not an asset.

On engagements Digital Heroes has taken over from a departing supplier, lifting a running system out of a vendor-owned cloud account has cost between $9,000 and $22,000 and taken three to six weeks, most of it spent working out what the environment variables were for.

The market in 2026

Grand View Research, Mordor Intelligence and Precedence Research each size the 2026 custom software market, and their estimates run between roughly 50.9 and 74 billion dollars, growth clustering at 17 to 23 percent. Grand View Research puts North America at around 34 percent of that spend, enterprise software above 60 percent of the market and cloud delivery at 57 percent. The houses disagree, which is itself the signal: nobody is measuring this precisely.

What that means for you rather than for an analyst. Roughly a third of world demand for custom software sits in your country and a large share of the supply does not, which is why your inbox holds eight near-identical proposals. Clutch lists more than 45,000 development agencies as listed at the time of writing. You are not short of suppliers, and looking at more will not help. Four firms quoting the same written specification hand you four comparable numbers. Four quoting a conversation hand you four different projects.

The two costs that go missing from offshore quotes. In our own projects, data migration runs 10 to 25 percent of the build. Nine years of legacy records are not a file you copy: somebody decides what moves, reconciles duplicates, maps fields that do not correspond, and proves the totals add up. A quote saying migration included with no record count assumed a smaller number than yours.

On the builds Digital Heroes has priced, year two runs 15 to 20 percent of build cost annually: dependency and framework upgrades, certificate renewal, cloud spend that grew, a security patch landing on a Friday, and the small changes that keep a system in use rather than quietly abandoned.

A worked example, from our own pricing. A Pennsylvania industrial equipment distributor replaces spreadsheet quoting with a quoting and service portal. Discovery and a signed requirements document, $9,000. Architecture and integration design, $11,000. Core build covering the quoting engine, approval rules and the portal, $46,000. One line that never appears on a quote and changes the real number: Section 174 of the Internal Revenue Code governs research and experimental expenditure, and after the 2025 federal tax changes, qualifying domestic research can be deducted immediately while foreign research stays on a fifteen-year amortisation schedule. A dollar spent offshore and one spent at home do not have the same first-year shape. That rarely reverses the decision, and it does move the payback date, so hand the numbers to your accountant first.

What moves the price

How much of the specification arrives with you

The cheapest thing you can bring an offshore firm is a finished decision. Every rule left open at signature becomes a conversation across a nine-and-a-half-hour gap, and each costs a day. Firms price that uncertainty whether they name it or not. A brief listing the roles, the states an order can be in, and the three reports finance opens moves a quote further than any negotiation.

The integration surface, and whose credentials you are waiting on

Count the systems that must exchange data and who owns each. A payment gateway with public documentation is a known quantity. An ERP system maintained by a reseller who bills for access, or an EDI connection certified with a trading partner, is a separate schedule. The engineering is rarely the delay. Getting credentials is, and that clock starts the day you ask.

The compliance regime the software lands in

Protected health information means a Business Associate Agreement under HIPAA reaching every subcontractor. Personal data on people in the European Union means Article 28 processor terms and a lawful transfer mechanism, normally the Standard Contractual Clauses. Card data pulls in PCI DSS 4.0, whose remaining future-dated requirements became mandatory on 31 March 2025. An Indian delivery entity also sits under the Digital Personal Data Protection Act 2023. All of it is cheaper decided at the start.

The overlap window and the seniority you are buying

A blended rate hides two things: how many hours of that day sit inside your window, and how many engineers are senior. Ask for the mix by name and level, and ask what the price does at six overlapping hours instead of three. Extending the window costs the vendor real money, because it means evening shifts. A firm agreeing without changing the number has priced it already or does not intend to honour it.

Where these projects go wrong

The overlap window lived in an email rather than the contract. Review turnaround drifts from one day to two, then three, because whoever answers is asleep when the question is asked. On a four-month build Digital Heroes was brought in to finish, that drift alone had added five weeks, and five weeks of a blended team bought nothing.

The intellectual property chain stopped at the vendor. The master agreement assigns everything to you, and the engineers who wrote the code were subcontractors with no assignment to the vendor, so there was nothing to pass on. On one engagement we inherited, re-papering assignment with eleven former contractors took seven weeks, during a funding round.

The specification was a proposal deck. Scope is agreed on a call, priced from a slide, and every later disagreement is a negotiation because there is no document to point at. In our own project history, first versions priced without a signed requirements document have run 30 to 60 percent over, and the overrun is never one large thing. It is forty small ones nobody wrote down.

How to run the selection in two weeks

  1. Days 1 and 2. Write the one-page brief. User roles, the workflows each performs, the systems that must exchange data, the three reports somebody opens weekly, and the live date.
  2. Day 3. Put your non-negotiables on paper. Which entity must sign, which law governs, whether arbitration is required, whether data may leave the United States, and the minimum overlap window in your local hours. These filter a list faster than any portfolio.
  3. Days 4 to 7. Approach five firms of different shapes: a nearshore augmentation bench, a certified enterprise firm, two Indian delivery houses with a US contracting entity, one direct Indian company. Send all five the identical brief.
  4. Days 8 and 9. Run the corporate check first. Registration number, registered address, and the standard master services agreement and assignment wording in advance. A firm that will not send its paper before a call has told you something useful.
  5. Day 10. Interview the engineer, not the salesperson. Thirty minutes with whoever would lead the build, inside the overlap window. Ask about the hardest integration they shipped last year and what broke first.
  6. Days 11 and 12. Force every quote into the same seven lines: discovery, architecture, build, integration, migration with a record count, security and testing, first-year support. Then ask two references what their first change request cost.
  7. Days 13 and 14. Buy a paid discovery phase. One to three weeks, priced separately, ending in a signed requirements document, a data model, an integration list and an estimate you own outright whoever you hire next. A firm that will not sell discovery alone is selling the build and calling it planning.

What to ask before you sign

  • Which registered entity signs this contract, and in which country? Worry if the name on the proposal is not the name on the agreement.
  • Does every individual engineer have a written assignment of intellectual property to you? Worry at an answer about company policy instead of signed documents.
  • Does that assignment state its duration and its territory? Worry if the clause is silent, because Indian law fills the silence with five years and India alone.
  • Is the dispute clause arbitration or a court, and where is it seated? Worry at a United States court named against an Indian counterparty, because that judgment does not travel.
  • Which hours, in my local time, are your engineers and decision-makers available? Worry at flexible, and worry again if the answer does not survive the November clock change.
  • Whose cloud account and whose repository will this live in from day one? Worry if the answer is theirs with a promise to migrate later.
  • Who exactly is on this team, and can I meet them this week? Worry if names only appear after the deposit clears.
  • What does an hour cost outside scope, and how is a change agreed? Worry if that rate is written nowhere in the agreement.
  • How many records did you assume for migration? Worry at all of them, said quickly and without a number.
  • Will you subcontract any part of this, and to whom? Worry at a flat no from a firm that does not publish a team size, because it cannot be checked.

Which of the ten should you actually call
